We are seeking a lawyer to join our growing team as Legal Counsel. Reporting to the Vice President, Legal, you will be joining a legal team of 6 professionals (Executive Vice President and General Counsel, Vice President Legal, Legal Counsel, Regulatory Counsel, Administrative Assistant) who are committed to the high-quality practice of law and working as a supportive team.
As part of the Xplore in-house team, the Legal Counsel will work on a range of cutting-edge initiatives and develop their practice, while receiving tailored mentorship/coaching and a unique opportunity to grow.
You will routinely advise on complex legal issues, while being an integral part of the business decision-making process - combining the best of legal and business worlds. If you are currently in private practice, you can expect to be challenged intellectually, exposed to a wide variety of legal issues and fully engaged in the transactions, while gaining some control over your hours. If you have already made the jump to in-house, you know to expect a different type of practice, one where you develop relationships, where you work through the life-cycle of your deals, and where you are highly valued as the internal expert because you will learn the business and the industry of Xplore.
You will work collaboratively with other team members, at all levels. Your ability to build effective relationships with the stakeholders, to listen to their fundamental concern, and to formulate creative solutions will be critical to your success.
• Reviewing, drafting, and negotiating a variety of commercial agreements (including complex technology supply agreements)
• Working closely with the Executive Team and the Leadership Team, and each of the business units, in a manner that fosters autonomy
• Assisting with M&A deals being run in-house, including negotiating and drafting agreements, conducting due diligence, and overseeing and instructing external counsel for larger deals
• Supporting the Marketing team with advertising review, and the Product team with consumer-related issues (e.g., the CRTC’s Internet Code)
• Providing professional, timely and business-oriented legal advice in a collegial manner
• Assisting the ongoing development of templates, precedents and reference resources
• Developing and enhancing processes to automate, streamline or improve corporate functions
• Actively managing external counsel where required
• Researching, analyzing and communicating changes to laws and regulations that may affect the business units
• Member of the Law Society of Ontario (or equivalent) in good standing
• 1 - 5 years of corporate/commercial law experience, such as commercial, corporate and M&A
• Excellent communications skills, including speaking, drafting and presentation skills
• Bilingual (English and French) skills are an asset
• Experience conducting due diligence reviews of corporate records and commercial agreements an asset
• Knowledge of the telecom / technology industry, or willingness to acquire such knowledge
